We review agreements before you sign, and step in when one breaks down, whether that means negotiating a fix or going to court.

Before you sign

The best time to avoid a dispute is before the contract is signed. We review and draft agreements so the terms say what you expect them to say: payment, deadlines, scope of work, termination and what happens if something goes wrong.

When a deal breaks down

  • Evaluating whether the other side has breached the contract
  • Demand letters and negotiating a resolution
  • Filing or defending a breach of contract lawsuit
  • Vendor, client, service and small business agreements
  • Disputes over unpaid invoices, deposits and refunds

Deadlines matter

California sets time limits for contract claims. In general, a lawsuit over a written contract must be filed within four years of the breach, and over an oral contract within two years. Some contracts and situations have different deadlines, so it is important to get advice early.

Common questions

Is a verbal agreement enforceable?

Many oral agreements are enforceable in California, but some types of contracts must be in writing, and oral terms are harder to prove. Emails, texts and payment records can help establish what was agreed.

Do I have to go to court?

Not necessarily. Many contract disputes are resolved through a demand letter and negotiation, or through mediation or arbitration if the contract requires it. When court is the right path, we are prepared for it.
